Terms of Service

Welcome to ZayDM. These Terms of Service ("Terms") govern your use of ZayDM, a product operated by DanZay FZE ("Company", "we", "us", "our").

By accessing or using ZayDM at zaydm.com or dash.zaydm.com, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. Company Details

2. Description of Service

ZayDM provides Instagram DM automation services using Meta's official Instagram API with Instagram Login. The service enables Instagram Business and Creator accounts to:

Automatically send private DMs in response to comments containing specific keywords
Auto-reply to incoming DMs based on keyword rules
Auto-respond to story replies and reactions
Manage and track automation performance via a dashboard

3. Eligibility

To use ZayDM, you must:

Be at least 18 years of age
Have a valid Instagram Business or Creator account
Comply with Instagram's Terms of Use and Community Guidelines
Have the legal authority to bind any business on whose behalf you use ZayDM
Not be located in a jurisdiction subject to UAE, UN, EU, UK, or US sanctions

4. Meta Platform Compliance

ZayDM operates on Meta's official API. By using ZayDM, you agree to comply with:

Violation of Meta's policies through your use of ZayDM may result in restriction or termination of your Instagram account. You are solely responsible for the content of all automated messages sent through ZayDM.

5. Acceptable Use

You agree NOT to use ZayDM to:

Send spam, unsolicited, or bulk messages
Violate Instagram's Community Guidelines or Terms of Use
Harass, abuse, threaten, or harm other users
Send misleading, deceptive, or fraudulent content
Impersonate any person or entity
Violate any applicable local, national, or international laws
Attempt to reverse-engineer, hack, or disrupt ZayDM's systems
Use ZayDM in any way that could damage Meta's platform or other users

6. Account Responsibility

You are responsible for:

All activity that occurs under your ZayDM account
Maintaining the security and confidentiality of your login credentials
All automated messages sent from your connected Instagram account
Ensuring your automation content complies with Meta's policies and applicable laws
Promptly notifying us of any unauthorized use of your account at support@zaydm.com

7. Instagram Access & Permissions

By connecting your Instagram account to ZayDM, you authorize us to:

Read comments on your posts and reels
Send direct messages on your behalf (triggered by user interactions only)
Access basic profile information

You may disconnect your Instagram account at any time from Settings → Connections. Upon disconnection, your access token is immediately revoked.

8. Service Limitations

We do not guarantee uninterrupted, error-free service
Message delivery depends on Instagram's platform availability and rate limits (200 DMs/hour per account)
We are not liable for messages not delivered due to Instagram API limitations or policy changes
We reserve the right to modify, suspend, or discontinue any feature with reasonable notice

9. Billing and Payments

9.1 Plans

ZayDM offers a Free plan and paid Pro plan. Features and limits for each plan are described on our Pricing page.

9.2 Billing

Paid plans are billed monthly or annually in advance. Payments are processed by Stripe.

9.3 Refund Policy

Annual plans: eligible for a pro-rata refund within 7 days of purchase or renewal
Monthly plans: non-refundable once the billing period has started
Refunds for service non-delivery or technical failure will be assessed case by case — contact support@zaydm.com

9.4 Price Changes

We reserve the right to change pricing with 30 days notice via email or in-app notification.

9.5 Cancellation

You may cancel your subscription at any time from Settings → Billing. Your access continues until the end of the current billing period.

10. Confidentiality

Each party agrees to keep the other party's confidential information secure and use it only for the purpose of fulfilling obligations under this agreement.

11. Intellectual Property

All content, features, and technology in ZayDM are owned by DanZay FZE and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of ZayDM.

12. Termination

We may suspend or terminate your account immediately if:

You violate these Terms or Meta's Platform Policies
We are required to do so by law or Meta
Your account is involved in fraudulent activity

You may terminate your account at any time from Settings → Danger Zone → Delete Account.

Upon termination, your Instagram access token is revoked and your data deleted within 30 days.

13. Limitation of Liability

To the maximum extent permitted by UAE law:

ZayDM is not liable for indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount you paid to ZayDM in the 12 months preceding the claim
We are not responsible for actions taken by Meta/Instagram affecting your account

14. Prohibited Users & Sanctions

We will not provide services to individuals or entities on UAE, UN, EU, UK, or US sanctions lists, or in jurisdictions subject to comprehensive sanctions programs.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (Emirate of Sharjah).

Any disputes arising from these Terms or your use of ZayDM shall first be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be referred to arbitration in Sharjah, UAE, in accordance with UAE arbitration laws.

International users: you are also subject to applicable jurisdictional laws in your country regarding consumer rights and data protection.

16. Privacy

Your use of ZayDM is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of ZayDM after changes constitute acceptance.
