Terms of Service

Welcome to ZayDM. These Terms of Service ("Terms") govern your use of ZayDM, a product operated by DanZay FZE ("Company", "we", "us", "our").

By accessing or using ZayDM at zaydm.com or dash.zaydm.com, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. Company Details

ZayDM is operated by DanZay FZE.

2. Description of Service

ZayDM provides social media automation, messaging, content publishing, and analytics services for supported Meta platforms, including Instagram and Facebook. Instagram features use Meta's official Instagram API with Instagram Login. Facebook features use Meta's official Facebook Page APIs.

For Instagram Business and Creator accounts, the service enables you to:

Automatically send private DMs in response to comments containing specific keywords
Auto-reply to incoming DMs based on keyword rules
Auto-respond to story replies and reactions
Manage and track automation performance via a dashboard

For a Facebook Page you are authorized to manage, the service can:

Connect the Page and list Pages you manage during connection
Run comment keyword automations for all posts or for selected posts and Reels
Send private Messenger replies to eligible personal-profile commenters
Run Messenger automations for inbound messages
Publish text posts, photo posts, video posts, Reels, and photo or video Stories, including locally scheduled content
Show Facebook Page analytics together with ZayDM automation analytics

ZayDM does not send unsolicited Facebook broadcasts or unrestricted Messenger messages.

3. Eligibility

To use ZayDM, you must:

Be at least 18 years of age
To use Instagram features, have a valid Instagram Business or Creator account
To use Facebook features, have the authority to connect and manage the Facebook Page you connect to ZayDM
Comply with Instagram's Terms of Use and Community Guidelines when using Instagram features, and with Facebook's applicable terms and community standards when using Facebook features
Have the legal authority to bind any business on whose behalf you use ZayDM
Not be located in a jurisdiction subject to UAE, UN, EU, UK, or US sanctions

4. Meta Platform Compliance

ZayDM is not Facebook, Instagram, or Meta. ZayDM does not control Meta's policies, permissions, API availability, moderation, account restrictions, or review decisions.

Instagram and Facebook features depend on Meta APIs, permissions, policies, availability, rate limits, review requirements, and platform changes. ZayDM cannot guarantee that a Meta API or permission will remain continuously available.

ZayDM operates on Meta's official APIs. By using ZayDM, you agree to comply with:

Violation of Meta's policies through your use of ZayDM may result in restriction or termination of your Instagram or Facebook account or Page. You are solely responsible for the content of all automated messages, comment automations, Messenger replies, and published content sent or posted through ZayDM.

5. Acceptable Use

You agree NOT to use ZayDM to:

Send spam, unsolicited, or bulk messages
Send unsolicited Facebook broadcasts or other Messenger messages that Meta does not permit
Violate Instagram's Community Guidelines or Terms of Use, or Facebook's applicable terms and community standards
Harass, abuse, threaten, or harm other users
Send misleading, deceptive, or fraudulent content
Impersonate any person or entity
Violate any applicable local, national, or international laws
Attempt to reverse-engineer, hack, or disrupt ZayDM's systems
Use ZayDM in any way that could damage Meta's platform or other users

6. Account Responsibility

You are responsible for:

All activity that occurs under your ZayDM account
Maintaining the security and confidentiality of your login credentials
All automated messages sent from your connected Instagram account
Facebook comment automations, Messenger automations, and private replies sent from a connected Facebook Page
The text, images, video, and other media you publish or schedule through ZayDM, including confirming that you have the rights needed to use that content
Ensuring your automation and publishing content complies with Meta's policies and applicable laws
Promptly notifying us of any unauthorized use of your account at support@zaydm.com

7. Instagram Access, Facebook Authorization, and Permissions

By connecting your Instagram account to ZayDM, you authorize us to:

Read comments on your posts and reels
Send direct messages on your behalf (triggered by user interactions only)
Access basic profile information

You may disconnect your Instagram account at any time from Settings → Connections. Upon disconnection, your access token is immediately revoked.

Facebook Page authorization

You may connect a Facebook Page only if you have the necessary authority to manage that Page. You are responsible for the permissions and authorization of every Page you connect to ZayDM.

By connecting a Facebook Page, you authorize ZayDM to, as applicable:

Read the Page list and Page information needed to connect it
Subscribe the Page for supported webhook events
Process comments and send eligible private Messenger replies and inbound Messenger automation responses
Create, schedule, and publish Page content you submit, including text, photos, videos, Reels, and Stories
Retrieve Page insight metrics that Meta makes available

Facebook automation

You are responsible for configuring lawful and appropriate automated messages for Facebook comments and Messenger. ZayDM does not provide unrestricted messaging. Messages are sent only through the automations you configure and only where Meta allows that message.

Facebook publishing

You are responsible for the content you publish and for confirming that you have the necessary rights to the text, images, video, and other media. Publication and scheduling depend on Meta API availability, Page permissions, content requirements, rate limits, and processing. ZayDM does not guarantee that Meta will accept or display every submission.

Facebook analytics

Facebook analytics in ZayDM may combine information returned by Meta APIs with ZayDM's own automation and delivery results. Analytics may be delayed or unavailable because of Meta permissions or API availability.

You may disconnect a connected Facebook Page from the Facebook area of the dashboard, or from Settings → Connections where that Page is listed. After disconnection, ZayDM stops using that Page token for future Facebook API operations, future automations and publishing for that Page stop, and webhook access is removed or disabled where applicable. Disconnecting a Page does not, by itself, immediately delete every historical record. Account deletion follows the timing in these Terms and the Privacy Policy.

8. Service Limitations

We do not guarantee uninterrupted, error-free service
Message delivery depends on Instagram's platform availability and is subject to Meta's applicable messaging and rate limits
Facebook messaging, publishing, webhooks, and analytics depend on Meta API availability, Page permissions, content requirements, rate limits, review requirements, and platform changes
We are not liable for messages, posts, or analytics that are not delivered or displayed because of Instagram or Facebook API limitations or policy changes
We reserve the right to modify, suspend, or discontinue any feature with reasonable notice

9. Billing and Payments

9.1 Plans

ZayDM offers Free, Starter, Pro, and Agency plans. Features and limits for each plan are described on our Pricing page.

9.2 Billing

Paid plans are billed monthly or annually in advance. Payments are processed by Stripe.

9.3 Refund Policy

Annual plans: eligible for a pro-rata refund within 7 days of purchase or renewal
Monthly plans: non-refundable once the billing period has started
Refunds for service non-delivery or technical failure will be assessed case by case - contact support@zaydm.com

9.4 Price Changes

We reserve the right to change pricing with 30 days notice via email or in-app notification.

9.5 Cancellation

You may cancel your subscription at any time from Settings → Billing. Your access continues until the end of the current billing period.

10. Confidentiality

Each party agrees to keep the other party's confidential information secure and use it only for the purpose of fulfilling obligations under this agreement.

11. Intellectual Property

All content, features, and technology in ZayDM are owned by DanZay FZE and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of ZayDM.

12. Termination

We may suspend or terminate your account immediately if:

You violate these Terms or Meta's Platform Policies
We are required to do so by law or Meta
Your account is involved in fraudulent activity

You may terminate your account at any time from Settings → Danger Zone → Delete Account.

Upon termination, your Instagram access token is revoked, connected Facebook Page access is stopped from further API use, and your data is deleted within 30 days.

13. Limitation of Liability

To the maximum extent permitted by UAE law:

ZayDM is not liable for indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount you paid to ZayDM in the 12 months preceding the claim
We are not responsible for actions taken by Meta, Facebook, or Instagram affecting your account or Page

14. Prohibited Users & Sanctions

We will not provide services to individuals or entities on UAE, UN, EU, UK, or US sanctions lists, or in jurisdictions subject to comprehensive sanctions programs.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (Emirate of Sharjah).

Any disputes arising from these Terms or your use of ZayDM shall first be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be referred to arbitration in Sharjah, UAE, in accordance with UAE arbitration laws.

International users: you are also subject to applicable jurisdictional laws in your country regarding consumer rights and data protection.

16. Privacy

Your use of ZayDM is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of ZayDM after changes constitute acceptance.
